Welcome to OpusWriter. These Terms of Service ("Terms") govern your use of the OpusWriter desktop software application ("Software") and the opuswriter.app website ("Website"), provided by Opus Writing Systems LLC ("Company," "we," "us," or "our"), a limited liability company registered in the State of Ohio.

By purchasing, downloading, installing, or using the Software, or by accessing the Website, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Software or Website.

1. License Grant

Upon purchase, we grant you a perpetual, non-exclusive, non-transferable, revocable license to use the Software on devices that you personally own or control, for your personal or internal business purposes.

This license permits you to install and use the Software on a reasonable number of personal devices. "Reasonable" is understood to mean devices you actively use for writing, not distribution to multiple users.

2. Restrictions

You may not:

a) Copy, redistribute, sublicense, resell, or otherwise transfer the Software or your license to any third party;

b) Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software;

c) Share your license key with others or use the Software on more devices than permitted;

d) Modify, adapt, or create derivative works based on the Software;

e) Remove, alter, or obscure any proprietary notices on the Software;

f) Use the Software for any illegal purpose or in violation of any applicable laws.

3. Ownership

The Software is licensed, not sold. Opus Writing Systems LLC retains all right, title, and interest in and to the Software, including all intellectual property rights. Your purchase grants you only the license rights described in these Terms.

You retain all ownership of any content you create using the Software. We claim no rights to your manuscripts, notes, or other creative work.

4. Payments and Pricing

OpusWriter is sold as a one-time purchase for a perpetual license. All payments are processed through our third-party payment processor, Lemon Squeezy. By making a purchase, you agree to their terms of service as well.

Prices are subject to change without notice. Any price changes will not affect licenses already purchased.

5. Refund Policy

We offer a 30-day money-back guarantee. If you are not satisfied with OpusWriter for any reason, contact us within 30 days of your purchase for a full refund. No questions asked.

To request a refund, email us at wesley@opuswriter.app with your order information. Refunds will be processed to your original payment method within 5-7 business days.

Upon refund, your license will be revoked and you must uninstall the Software from all devices.

6. Updates and Support

Your license includes free access to minor updates and bug fixes. We may, at our discretion, charge for major version upgrades (e.g., OpusWriter 2.0) as a separate purchase, with discounts potentially offered to existing customers.

The Software periodically checks for updates by connecting to our servers. This sends your current version number to our servers but does not collect or store any personal information.

Support is provided via email. While we strive to respond promptly, we do not guarantee specific response times.

7. Third-Party Services

Our Website and services may contain links to or integrations with third-party websites and services. We are not responsible for the content, privacy policies, or practices of any third-party sites or services. This includes, but is not limited to, Lemon Squeezy (payment processing), Loops (email communications), and Squarespace (website hosting).

8. Disclaimer of Warranties

THE SOFTWARE AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be error-free, uninterrupted, or free of viruses or other harmful components. You assume all responsibility for your use of the Software.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OPUS WRITING SYSTEMS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE OR WEBSITE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE LICENSE.

10. Indemnification

You agree to indemnify, defend, and hold harmless Opus Writing Systems LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Software or Website, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may terminate or suspend your license immediately, without prior notice or liability, if you breach any provision of these Terms. Upon termination, your right to use the Software will immediately cease, and you must uninstall the Software from all devices.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Dispute Resolution

If you have any concerns or disputes regarding these Terms or the Software, you agree to first attempt to resolve the dispute informally by contacting us at wesley@opuswriter.app. We will attempt to resolve the dispute through informal negotiation within 30 days.

If the dispute cannot be resolved informally, you and Opus Writing Systems LLC agree to resolve any claims through binding arbitration, rather than in court, except that either party may bring claims in small claims court if they qualify.

Arbitration shall be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Ohio, unless otherwise agreed by the parties.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the Software or Website after any changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Opus Writing Systems LLC regarding your use of the Software and Website, and supersede any prior agreements.
